These Terms form a binding agreement between you and Review Guardian (“Review Guardian,” “we,” “us,” or “our”).

If you use Review Guardian on behalf of a business or organization, you represent that you have authority to act on behalf of that business or organization.

2. Our Services

Review Guardian provides tools and services that may include:

• Reviewer verification.
• Fraud and abuse risk analysis.
• Customer-feedback collection.
• Review-request functionality.
• Business and customer records.
• Administrative dashboards.
• Related communications and support services.

Features may change or be discontinued from time to time.

3. Google Disclaimer

Review Guardian is an independent service provider.

Review Guardian is not Google and is not affiliated with, endorsed by, or sponsored by Google LLC.

Google, Google Maps, and Google Business Profile are trademarks of Google LLC.

You are responsible for complying with applicable Google policies when using our services.

4. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into these Terms.

If you create or use an account, you are responsible for:

• Providing accurate information.
• Protecting your login credentials.
• Maintaining the security of your account.
• All activity conducted through your account.
• Promptly notifying us of unauthorized access.

5. User Responsibilities

You agree to:

• Provide truthful and accurate information.
• Use our services for legitimate purposes.
• Use review-request functionality only for genuine customers and genuine experiences.
• Have appropriate authority or permission to provide information uploaded to the platform.
• Have rights to any content, images, logos, or materials you provide.
• Protect confidential customer and reviewer information.
• Follow applicable laws and regulations.
• Follow applicable Google and third-party platform policies.

6. Prohibited Activities

You may not use Review Guardian to:

• Create, purchase, manufacture, or coordinate fake reviews.
• Create fake reviewer identities.
• Manipulate or fabricate customer experiences.
• Condition compensation on a particular review rating or sentiment.
• Submit false or misleading information.
• Impersonate another person or business.
• Violate applicable law.
• Violate Google policies.
• Attempt unauthorized access.
• Bypass security controls.
• Upload malicious software.
• Scrape protected information.
• Reverse engineer the platform.
• Expose private customer or reviewer information to unauthorized individuals.

We may suspend or terminate accounts involved in prohibited activities.

7. Verification and Risk Information

Review Guardian may provide risk scores, duplicate indicators, device information, location comparisons, screenshot observations, or other fraud-prevention signals.

These signals are informational and may be incomplete or inaccurate.

No individual signal or automated score necessarily determines whether a submission is legitimate.

Authorized administrators are responsible for reviewing relevant information and context before making decisions.

8. Customer Feedback and Reviews

Customer feedback submitted through Review Guardian may be provided to the business that requested the feedback.

A click on a Google review link does not establish that a Google review was posted.

Reviews posted on Google or another third-party platform are controlled by that platform and the individual reviewer.

Review Guardian does not guarantee that a review will be published, retained, displayed, or affect a business's rating, ranking, visibility, or reputation.

9. Content and Uploads

You retain ownership of content you provide to Review Guardian.

By submitting content, you grant Review Guardian a limited, non-exclusive right to host, process, analyze, display to authorized users, and otherwise use that content as reasonably necessary to provide, maintain, secure, and improve the services.

You represent that you have the necessary rights and permissions to submit the content.

10. Third-Party Services

Review Guardian may rely on third-party providers for hosting, storage, authentication, email, SMS delivery, security, location information, Google services, and other functionality.

Third-party services may have their own terms and policies.

Review Guardian is not responsible for third-party outages, policies, decisions, or services outside our reasonable control.

11. Intellectual Property

Review Guardian retains rights to its website, software, interfaces, workflows, templates, tools, reports, branding, and proprietary methods.

You retain ownership of content you provide.

Except as expressly stated in these Terms, no intellectual-property rights are transferred to you.

12. Disclaimer of Warranties

To the maximum extent permitted by law, Review Guardian services are provided “AS IS” and “AS AVAILABLE.”

We do not guarantee:

• Uninterrupted availability.
• Error-free operation.
• Complete accuracy of risk results.
• Prevention of every fraudulent submission.
• Publication or retention of third-party reviews.
• Any particular ranking or business outcome.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Review Guardian will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost reviews, or business interruption.

To the maximum extent permitted by law, our aggregate liability arising from or relating to the services will not exceed the amount you paid Review Guardian during the three months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited.

14. Indemnification

You agree to indemnify and hold harmless Review Guardian and its owners, employees, contractors, and service providers from claims, losses, liabilities, damages, penalties, and reasonable legal expenses arising from:

• Information or content you provide.
• Your use or misuse of the services.
• Your violation of these Terms.
• Your violation of applicable law.
• Your violation of Google policies.
• Your violation of third-party rights.

15. Suspension and Termination

We may suspend or terminate access where reasonably necessary due to:

• Fraudulent activity.
• Illegal activity.
• Security threats.
• Abuse or misuse.
• Violation of these Terms.
• Unauthorized access.
• Misuse of private information.
• Material breach of an applicable agreement.

Provisions concerning intellectual property, disclaimers, liability, indemnification, and dispute resolution may survive termination.

16. Electronic Communications and SMS

You consent to receive electronic communications reasonably necessary to respond to inquiries and provide requested services.

If you separately opt in to receive SMS messages, Review Guardian may send recurring text messages regarding:

• Your inquiry.
• Account support.
• Reviewer verification.
• Customer feedback.
• Review requests, where applicable.
• Service updates.

Message frequency may vary. Message and data rates may apply.

Reply STOP at any time to opt out.

Providing a phone number alone does not constitute SMS consent.

Consent to receive SMS messages is not a condition of purchasing goods or services.

We do not sell or share mobile phone numbers or SMS opt-in information with third parties for their own marketing purposes.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles.

Before filing a formal legal claim, the parties agree to make a reasonable effort to resolve disputes informally.

Nothing prevents either party from bringing a qualifying claim in small claims court where permitted.

18. General

These Terms, our Privacy Policy, and any applicable written agreement constitute the agreement governing use of the services.

If any provision is determined to be unenforceable, the remaining provisions will remain effective.

Failure to enforce a provision does not constitute a waiver.

Nothing in these Terms creates a partnership, employment relationship, or joint venture.

19. Changes to These Terms

We may update these Terms from time to time.

The “Last Updated” date indicates when they were most recently revised.

Continued use of the services after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.
